• Candidate: An individual recruited, vetted, and subcontracted by Korey Ewen to provide services to the Client.

3. Scope of Services

3.3. The Client acknowledges that the Company acts as an intermediary and is not the employer of the Candidates, except where explicitly agreed in writing.
4. Client Obligations
4.1. The Client must provide accurate and complete information regarding their requirements and the roles to be filled.
4.2. The Client must not attempt to engage Candidates directly without written consent from the Company for a period of [12 months] following the introduction of the Candidate.
4.3. The Client shall comply with all applicable laws and regulations, including employment, health and safety, and data protection laws.
5. Candidate Placement and Conduct
5.1. The Company will use reasonable efforts to ensure that Candidates possess the necessary skills and experience for the role.
5.2. The Company is not liable for any misconduct, negligence, or actions of the Candidate once they are placed with the Client.
5.3. The Client must notify the Company immediately of any issues or concerns regarding a Candidate.
6. Fees and Payment Terms
6.1. Service Fees will be agreed upon in writing before the commencement of services.
6.2. Invoices are payable within [30 days] of the invoice date, unless otherwise agreed in writing.
6.3. Late payments may incur interest at a rate of [8% per annum] above the Bank of England base rate, in accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998.
6.4. The Company reserves the right to suspend services in the event of non-payment.
7. Confidentiality
7.1. Both parties agree to keep confidential any information relating to the business, operations, and affairs of the other party, except where disclosure is required by law.
7.2. The Client agrees not to disclose any details of the Candidates to third parties without prior written consent from the Company.
8. Data Protection
8.1. The Company complies with the UK Data Protection Act 2018 and the UK GDPR.
8.2. Any personal data provided by the Client or Candidates will be processed in accordance with our Privacy Policy, which is available on request.
8.3. The Client agrees to handle any personal data received from the Company in compliance with all applicable data protection laws.
9. Limitation of Liability
9.1. To the fullest extent permitted by law, the Company shall not be liable for any indirect, special, or consequential loss or damage arising from the services provided.
9.2. The Company’s total liability, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client for the services in question.
9.3. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
10.1. Either party may terminate the Agreement by providing [30 days’] written notice.
10.2. The Company reserves the right to terminate the Agreement immediately if the Client breaches these Terms or engages in illegal or unethical conduct.
10.3. Upon termination, all outstanding fees become immediately due and payable.
11. Non-Solicitation
11.1. The Client agrees not to solicit, hire, or engage any Candidate introduced by the Company, other than through the Company, for a period of [12 months] following the introduction.
11.2. If the Client breaches this clause, they shall pay the Company a fee equal to [25%] of the Candidate’s annual remuneration package.
12. Dispute Resolution
12.1. In the event of a dispute, both parties agree to attempt mediation before pursuing legal action.
12.2. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Amendments
13.1. The Company reserves the right to amend these Terms at any time. Clients will be notified of any changes in writing, and continued use of the services constitutes acceptance of the revised Terms.
14. Force Majeure
14.1. The Company shall not be liable for any delay or failure in providing services due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, or governmental actions.
15. Entire Agreement
15.1. These Terms constitute the entire agreement between the Company and the Client and supersede any prior agreements or understandings.
15.2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
